Schedule 1 — Practical service rules

The numbered provisions below set out the contractual rules for the Profile Studio website, ready-made digital avatar files, individually commissioned artwork, accounts, payment, delivery, intellectual-property permissions, cancellation and complaints. Schedule 1 contains practical purchase and use examples. The accompanying policies are incorporated where relevant to the particular service and should be read with these Terms.

2. About these Terms

2.1 These Terms & Conditions govern access to Profile Studio and purchases from DIGIMACIS LTD, trading as Profile Studio. They apply when you browse the Website, create an Account, purchase a ready-made avatar, commission Custom Artwork or use digital material delivered through the Service. A contract for an individual order is formed when the order is accepted and confirmed, not merely when an item is added to a cart.

2.2 Review the description, file format, licence, total price and fulfilment method before placing an order. If a particular product page identifies a more specific licence or deliverable, that description supplements these Terms for that order; an express written individual commission agreement takes precedence on the specific point agreed. Statutory consumer rights always prevail over inconsistent terms.

3. Definitions

3.1 Account means a registered user profile; Website means profile-studio.com; Service means the catalog, account, order, creative-work and download functions; Ready-Made Artwork means an existing digital asset offered with electronic delivery; Custom Artwork means original artwork commissioned to a customer brief; and Digital Content means downloadable or accessible electronic image files and related digital deliverables.

3.2 Order means a customer purchase accepted by Profile Studio; Confirmation means the order acknowledgment sent or displayed after acceptance; Licence means the permission to use the relevant artwork without receiving copyright ownership; Business Day means Monday to Friday excluding public holidays in England and Wales; and Consumer has its ordinary applicable statutory meaning. References to a policy mean the policy with that exact title published by Profile Studio.

4. Eligibility & account use

4.1 The Service is intended for customers aged at least 18. By creating an Account or purchasing, you confirm that you are eligible to contract, act on your own behalf or with sufficient authority, and use a payment instrument with the holder's permission. Accounts are personal, subject to the restrictions on assignment and sharing described in the Acceptable Use Policy.

4.2 You must provide accurate details, keep your password secure and promptly notify info@profile-studio.com of unauthorised access. We may request reasonable verification to prevent fraud, recover access or establish order ownership. You remain responsible for activity attributable to your credentials unless it arose from our own security failure or another circumstance for which applicable law makes us responsible.

4.3 The age threshold applies both to direct purchases and to the submission of private creative-reference material. We do not intentionally operate customer accounts for minors. If an order involving an underage person or an unauthorised payment is identified, we may secure access and review the transaction fairly, including the rights of a cardholder or Consumer. A parent's communication about a child's data is handled under the Privacy Policy.

5. Scope of licence & permitted use

5.1 After full payment and lawful delivery, Profile Studio grants a non-exclusive, worldwide, non-sublicensable licence to use purchased Ready-Made Artwork in digital profiles, streaming channels, communities, websites and related personal or promotional materials. The same default applies to delivered Custom Artwork unless its specific written commission terms grant different rights. The Licence allows reasonably necessary resizing, cropping and format conversion while respecting creators' rights.

5.2 You may not sell the artwork as a stand-alone asset, represent yourself as its copyright owner, publish it in stock libraries, distribute the source file as a template, mint it as a token or grant others an independent licence. A commercial-branding use does not guarantee exclusivity, trademark registrability or freedom from third-party rights; obtain separate written clearance for those applications. Copyright transfer and exclusivity arise only from an express, signed agreement.

5.3 Product origin and standard custom scope: ready-made catalogue avatars are AI-generated. Custom Avatar is drawn by a designer and includes one concept, two rounds of minor revisions and final PNG and JPG files at 2048 × 2048 pixels. The non-exclusive licence permits personal and commercial use subject to sections 5.1 and 5.2; no copyright transfer or exclusivity is included. A new concept or changed brief requires separate agreement before additional work. Standard custom delivery is within ten Business Days after confirmed payment and receipt of a complete brief; any agreed change to scope or schedule is confirmed with the customer. These provisions do not limit statutory consumer rights.

6. Virtual currency, items & digital content

6.1 Profile Studio sells digital image files and commissioned digital creative work, not fiat balances, cryptocurrency, electronic money or payment accounts. Any website download credit, access link or order entitlement represents a limited contractual right to receive Digital Content and is not a redeemable monetary instrument. Its utility cannot be exchanged for cash, transferred between customers or sold outside the Service.

6.2 A Ready-Made Artwork purchase normally conveys the file plus the Licence, not title to underlying intellectual property. A Custom Artwork purchase conveys the deliverables agreed from the creative brief and the applicable Licence, subject to payment and lawful rights in customer-supplied references. We do not promise that an AI-generated element can be exclusively owned or protected by copyright in every jurisdiction.

7. Purchases, billing & taxes

7.1 The Website currently displays prices in euros (EUR); where a currency selector is offered, the checkout's explicitly displayed billing currency and final amount control that Order. The total payable amount, any applicable tax and material restrictions must be visible before the payment obligation is confirmed. No ongoing subscription or recurring billing is included in an ordinary one-off avatar purchase unless separately and expressly offered and accepted.

7.2 We may refuse an Order before acceptance if pricing is clearly erroneous, a payment is rejected, available rights cannot be granted or fraud controls identify an unacceptable risk. In that case, an authorisation hold does not itself mean funds were captured; a captured payment for an unaccepted order is returned through the original payment route. See the Payment Policy for authorisation, evidence and dispute procedures.

8. Delivery of digital content

8.1 Ready-Made Artwork is normally supplied through an electronic download link or order/account access promptly after successful payment confirmation. The delivery event is the provision of usable access to the purchased file, not the posting of a parcel or the customer's later choice to open the file. Check the product-page format, resolution and compatibility; a size variant is only the variant selected and paid for.

8.2 Custom Artwork begins when the Order is accepted and sufficient creative instructions and reference materials have been received. The standard target is ten Business Days after receipt of the complete brief, subject to updates for complexity, accepted revisions or interruptions notified to the customer. The Digital Product Fulfilment Policy sets out status checks, non-delivery evidence and assistance. Missing links and corrupted files should be reported promptly; consumer remedies remain available even if a report is delayed.

9. No redemption, resale or cash-out

9.1 Digital artworks, download entitlements and any incidental virtual features have no redemption value and cannot be used as stored value, cash equivalents or payments to other users. No buy-back, peer-to-peer market, withdrawal or cross-account transfer is offered. Paying for an avatar is purchasing Digital Content or commissioned creative services, not acquiring a financial asset or deposit.

9.2 Access credits or unfulfilled entitlements are reversed on a granted refund when appropriate. Closure of an Account ends account-based access and may extinguish unused access rights; it does not, by itself, rescind the valid Licence to a lawfully downloaded and paid-for file. We will not take away statutory rights to conforming digital content through account restrictions or arbitrary licence changes.

10. User conduct & prohibited activity

10.1 Use the Service lawfully and in accordance with the Acceptable Use Policy. Do not submit harassment, impersonation, infringing references, unlawful sexual material, child exploitation material, non-consensual intimate content, malicious code, scraping bots, fraudulent chargebacks or deceptive payment information. Images of identifiable persons should be uploaded only with an appropriate lawful basis and any permissions necessary for the requested creation or publication.

10.2 If a brief presents a reasonable rights, safety or fraud concern, we may seek clarification, refuse the prohibited component, restrict access or cancel and refund an unperformable Order where applicable. Enforcement is proportionate and records the reasons for review. Conduct rules cannot be used to strip a Consumer of statutory redress for defective content or to retaliate against a good-faith complaint.

11. User-generated submissions

11.1 You retain rights in images, text, likenesses and directions you supply. You grant Profile Studio and those creators or contracted providers engaged to fulfil your Order a limited licence to access, copy, adapt and use those materials solely for production, quality review, customer communication, security and permitted record retention. You must have the rights to provide the materials and must not upload another person's private image without appropriate authorisation.

11.2 We may reject or request modification of an unsafe or infringing brief; a production estimate begins once an adequate lawful brief is accepted. Uploading a brand logo does not transfer that brand to us, while purchasing a custom avatar does not confer a right to use third-party artwork included without permission. Processing of personal references, retention and deletion requests is described in the Privacy Policy.

12. Intellectual property

12.1 The Website, visual catalog, design, software, trademarks and content are owned by DIGIMACIS LTD or licensed by their respective holders. Artists and third-party rights holders may retain all underlying intellectual property in ready-made or commissioned assets. No ownership transfers merely because a file is downloadable, personalised or paid for. Any specifically purchased commercial permission remains limited to its written scope.

12.2 Do not erase copyright notices, reverse engineer proprietary software, misrepresent the source of an image or assert exclusive rights in a pre-existing work. If you believe an image infringes rights, provide links, affected work, your legal interest and contact details to info@profile-studio.com. We investigate proportionately and may suspend the disputed item, offer a lawful replacement or provide legally required relief.

13. Updates, maintenance & changes to the Service

13.1 We may maintain, upgrade, secure, rearrange or discontinue catalog and account features. Reasonable brief interruptions do not change the agreed characteristics of an already purchased file; material changes affecting an outstanding paid Order will be communicated and handled under the Refund Policy. Product descriptions and prices can change prospectively, not retroactively after acceptance without a valid contractual basis.

13.2 Download links may be regenerated for security or migrated between storage systems. Keep a lawful backup of completed downloads, subject to the applicable Licence. Where an access issue results from our infrastructure, we will take reasonable steps to restore access, provide a compatible file or discuss statutory remedies without charging again for a previously paid entitlement.

14. Suspension, restriction & termination

14.1 We may temporarily secure an Account following credible evidence of compromise, fraudulent activity, rights infringement or material misuse, and we may terminate after a serious or repeated breach. Except where safety, law or fraud prevention makes advance notice inappropriate, we aim to explain the restriction and provide a route to review it. Good-faith consumer complaints and statutory disputes are not grounds for retaliation.

14.2 Account closure ends future access to account-only features and may disable unused links, but does not erase lawfully purchased downloaded files or any continuing Licence that survives these Terms. Outstanding fulfilment or lawful refund claims are resolved separately. The Cancellation Policy covers voluntary closure, closure requested during a custom production project, record retention and effects on pending Orders.

15. Consumer rights & statutory protections

15.1 UK Consumers benefit from non-excludable rights under applicable consumer legislation. Digital Content must meet legally required description, quality and fitness standards; defective content may entitle the customer to repair or replacement, a price reduction or a refund in circumstances prescribed by law. Creative services must be performed with reasonable care and skill and within applicable agreed or reasonable time limits.

15.2 Distance contracts generally carry a 14-day statutory cancellation right, subject to correct rules for digital content and services. For immediately supplied digital content, loss of the withdrawal right requires express prior consent to early supply, acknowledgement of the consequence and the required confirmation. For custom services, early work and completed performance are treated under the separate service-contract rules. Personalisation alone is not treated as a blanket waiver; see the Cancellation Policy and Refund Policy.

16. Refunds & billing disputes

16.1 The Refund Policy explains the requests and evidence process for defective or missing files, mistaken or duplicate charges, payment fraud and statutory cancellation. Contact info@profile-studio.com with your order reference, purchase date, issue description and relevant screenshots; do not include full payment-card numbers. We acknowledge ordinary requests within two Business Days and ordinarily investigate within ten Business Days, without extending statutory reimbursement deadlines.

16.2 Approved refunds normally return to the payment instrument used. Where a refund relates to unprovided Digital Content, associated access rights are cancelled; where a downloaded file has already been received, any refund-related licence consequences must remain lawful and proportionate. You retain the right to challenge a payment with your card issuer; seeking merchant support first may be faster, but is not a condition of scheme or statutory rights.

17. Disclaimers & service availability

17.1 Artwork is creative material, not a promise of a particular audience response, commercial success, identity verification result or trademark registration. Digital displays, colour calibration, file resolution and platform crop rules may differ between devices, and customers should examine stated technical specifications before purchase. We do not guarantee that an external social network will accept every artistic subject or file format.

17.2 Nothing in this clause limits a stated product promise, the obligation to provide conforming content, reasonable care and skill for services or available legal remedies. We maintain reasonable service availability but cannot guarantee uninterrupted access to networks and independent third-party systems. If a substantial outage prevents agreed fulfilment, customers receive the remedial options provided by law and the Digital Product Fulfilment Policy.

18. Limitation of liability

18.1 We do not exclude or restrict liability where doing so is unlawful, including for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, and mandatory consumer remedies. Nothing prevents a court from assessing the fairness of a consumer contract term. Any stated limitation applies only insofar as it is lawful and reasonable considering the price, subject matter and reasonably foreseeable loss.

18.2 For customers acting in business, and subject to liabilities that cannot be excluded, neither party is liable for unforeseeable or remote losses and consequential business opportunities not contemplated at contract formation. A Consumer's statutory rights and reasonably foreseeable losses caused by our breach remain protected. You should keep independent backups and promptly report any defect to minimise avoidable disruption.

19. Indemnity

19.1 If you use the Service as a business and knowingly submit content that infringes another person's rights or conduct deliberate unlawful activity, you are responsible for losses directly and reasonably arising from that breach, including a properly supported third-party claim. We will give reasonable notice of a claim and an opportunity to participate in its defence where appropriate. This obligation applies only to matters actually attributable to you.

19.2 Nothing requires a Consumer to indemnify us against losses caused by our own breach, negligence, insufficient licence rights or unreasonable action. We do not impose an unlimited indemnity for ordinary mistakes or good-faith consumer complaints. We may remove content at legal risk while an allegation is reviewed, and can restore access if investigation establishes that removal was unwarranted.

20. Privacy, cookies & data handling

20.1 DIGIMACIS LTD is the controller for the customer information it determines to process through orders, accounts, contact requests and custom briefs. The Privacy Policy explains categories of information, purposes, legal bases, recipients, retention and your rights. The Cookie Policy describes first-party site functionality, consent controls and the tracking-related technologies used to support browsing and transactions.

20.2 Do not submit sensitive or intimate images unless necessary and permitted under the product brief and law. Security and fraud controls may involve checkout vendors acting under their own regulatory obligations, but Profile Studio does not request full card details through email or artistic brief forms. Marketing preferences should be chosen separately from order acceptance; withdrawal from optional marketing does not stop essential fulfilment notices.

21. Complaints & support

21.1 Write to info@profile-studio.com with the relevant Order identifier, account email, purchased item, problem and desired remedy. We aim to acknowledge within two Business Days; more complex technical, rights and payment inquiries may require up to ten Business Days for an initial outcome, with progress updates if investigation continues. Never send full card numbers, passwords or unrelated identity documents to support.

21.2 For a missing download, check the order/account page and filtered email before contacting us; for custom artwork provide the submitted brief and agreed schedule. A complaint can include a request to exercise a legal right, not just a goodwill request. We may ask the payment provider for transaction traces or investigate available order logs, subject to privacy and data minimisation rules.

22. Governing law & dispute resolution

22.1 These Terms are governed by the law of England and Wales, without depriving a Consumer living elsewhere of mandatory protections of their place of habitual residence where applicable. Courts of England and Wales have jurisdiction subject to any non-excludable consumer right to proceedings in another competent court. Before litigation, parties are encouraged, but not compelled, to use the support route for a good-faith attempt at resolution.

22.2 Cardholders remain free to contact their card issuer or use a legally available alternative dispute mechanism. Nothing in these Terms requires arbitration, waives a statutory remedy, prevents a regulatory complaint or shortens a mandatory limitation period. Any invalid provision is severed to the minimum extent necessary while lawful remaining provisions continue to apply.

23. Changes to these Terms

23.1 We may update the Terms to reflect law, security, customer support, functionality or commercial models. Material changes affecting active or outstanding Orders will be notified by a reasonable channel when legally required, and cannot retrospectively remove accrued rights or alter a completed accepted purchase without lawful grounds. The latest published version governs prospective use after its effective date.

23.2 If an update substantially reduces ongoing Account functionality, you may request account closure and pursue any remedy required by applicable law. We retain a version record to help address disputes concerning a specific purchase date. A separate individual written commission scope or licence continues to govern the Order to the extent expressly agreed, unless replaced with the customer's consent.

24. Contact

24.1 Profile Studio is operated by DIGIMACIS LTD, company number 17503974, registered at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ. Website: https://profile-studio.com. Contact, billing disputes, privacy requests, artistic brief questions and cancellation notices may be sent to info@profile-studio.com. Please identify the matter clearly and include any relevant order reference.

24.2 These contact channels are also described in the Refund Policy, Payment Policy, Cancellation Policy, Digital Product Fulfilment Policy, Privacy Policy, Cookie Policy and Acceptable Use Policy. If a notice concerns personal data, we may verify that the requester is authorised before releasing data. For time-sensitive statutory cancellation, dispatching a clear notice within the applicable period is sufficient where the law so provides.

Schedule 1 — Practical service rules

A. Ready-made avatar: choose a size, review the final EUR price and licence, provide a functioning email address and complete the order. Download the file from the link or Account order page. If the link is inaccessible, report the order number and browser/device details; we seek to restore it without requiring a second purchase.

B. Custom avatar: provide a lawful, sufficiently specific creative brief, including intended audience, size, style, usage and any reference files. The ten-Business-Day target starts after the brief is complete; additional changes beyond agreed scope or late replies may shift the estimate. Final artwork is supplied electronically; confirm any exclusive-rights request in a separate written agreement before purchasing.

C. Rights and resale: a customer can display a properly licensed avatar on a social or professional profile, subject to any published product restrictions. They cannot sell the same file as downloadable stock, issue independent sublicences or assert ownership of original creator rights without a distinct rights transfer.

D. Payment and refund: a failed authorisation does not mean the file has been delivered; an apparent duplicate card charge should be checked against bank holds and order confirmations. If a download fails or the artwork is materially defective, contact support with evidence; statutory remedies take priority over a 'digital goods final' statement.

E. Account closure: request closure by email from the registered address. Existing lawful downloaded artwork can continue to be used within its Licence; new downloads, custom projects, unused account entitlements and pending refunds are treated according to the Cancellation Policy and other mandatory rights. The data erasure request is separately assessed under the Privacy Policy.

F. Safeguarding: do not upload someone else's identifiable face, intimate material or copyrighted imagery without a lawful right. A refusal to create prohibited content is not permission for us to deny a legally due refund. Report suspicious links, misuse or an unauthorised purchase to info@profile-studio.com.
